# Terms & Conditions *Effective Date: 09/08/2026* *Last Updated: 09/08/2026* These Terms & Conditions ("Terms") govern all quotations, orders, purchases, and services provided by **PACKPRO FOOD PACKAGING SOLUTIONS** ("Company", "we", "us", "our"), GSTIN: CQGPK6521C1Z2, registered on 21st March 2025, with registered office at Dholidoob, Narnaul-Behror Road, Alwar, Rajasthan, India, 301001. By placing an order, accepting a quotation, or using our services, the customer ("you", "your") agrees to be bound by these Terms. ## 1. Orders & Quotations - All quotations are valid for the period stated on the quotation document, or for 15 days from the date of issue if no validity period is mentioned. - An order is confirmed only upon written acknowledgment from the Company or receipt of the required advance payment, whichever applies. - Product specifications, quantities, and pricing are subject to change until an order is formally confirmed. ## 2. Pricing & Payment - All prices are quoted in Indian Rupees (INR) and are exclusive of applicable GST unless stated otherwise. - Payment terms, advance payment percentage, and credit limits (if any) will be as specified on the invoice or quotation, or as per the commercial terms agreed with the customer. - Payments delayed beyond the agreed due date may attract late payment charges as communicated separately. - The Company reserves the right to withhold delivery or services in case of overdue payments. ## 3. Delivery - Delivery timelines mentioned in quotations/orders are estimates and not guaranteed unless explicitly confirmed in writing. - Risk in goods passes to the customer upon dispatch/handover to the carrier, unless otherwise agreed. - Delays caused by force majeure events (natural disasters, strikes, transport disruptions, government restrictions, etc.) are not the responsibility of the Company. ## 4. Quality & Inspection - All products are manufactured/supplied as per the agreed specifications and applicable quality standards. - Customers must inspect goods upon receipt and report any discrepancies, damages, or quality issues within 7 days of delivery. Claims raised after this period may not be entertained. ## 5. Returns, Replacement & Refunds - Returns, replacements, and refunds are handled as per the Company's separately published Return/Refund/Replacement Policy. - Custom-made or made-to-order products are generally non-returnable unless found defective or not matching agreed specifications. ## 6. Cancellations - Order cancellations must be requested in writing before production/procurement has commenced. - Cancellations after production has started may be subject to charges for work completed and materials procured. ## 7. Intellectual Property - Designs, artwork, packaging specifications, and materials developed by the Company for a customer remain the Company's property unless otherwise agreed in writing. - Customer-provided designs, logos, and artwork remain the customer's property; the customer warrants they have the right to use and share such materials with the Company. ## 8. Confidentiality Both parties agree to keep confidential any business, technical, or pricing information shared during the course of the business relationship, and not disclose it to third parties without written consent. ## 9. Limitation of Liability The Company's total liability for any claim arising from an order shall not exceed the value of the specific order in question. The Company is not liable for indirect, incidental, or consequential losses, including loss of business or profits. ## 10. Governing Law & Dispute Resolution These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at Alwar, Rajasthan. Parties agree to first attempt resolution through good-faith negotiation before initiating legal proceedings. ## 11. Changes to These Terms The Company reserves the right to update these Terms at any time. The updated version will be published on this page with a revised "Last Updated" date and will apply to orders placed after that date. ## 12.
